Zutopia is a peer-to-peer platform facilitating the direct exchange of Zucoins, the next-generation cryptocurrency, among its users. This decentralized ecosystem enables buyers and sellers to transact securely using the SplitChain framework, which eliminates the need for intermediaries, miners, or transaction fees.

These Terms of Service (“Agreement”) govern the use of services (“Services”) provided by Zutopia and Zucoins L.P. (“Zutopia,” “we,” “us,” or “our”) to individuals (“you” or “your”). By accessing or using Zutopia, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the accompanying Privacy Policy.

Acceptance and Updates

• By creating an account or using Zutopia, you agree to these Terms of Service.

• Zutopia integrates Stripe Payments and Stripe Connect to facilitate payment processing for transactions conducted on the platform.

• By using Zutopia, you agree to comply with the policies, terms, and conditions set forth by Stripe, including but not limited to the Stripe Services Agreement and the Stripe Connected Account Agreement.

• Users acknowledge that their use of Stripe services is subject to Stripe’s privacy policy and additional terms, which govern the collection, use, and sharing of information between Stripe and Zutopia.

• If Stripe terminates or suspends your access to their services, this may impact your ability to use certain features of Zutopia. Zutopia is not liable for any limitations or losses incurred due to such actions.

• Zutopia reserves the right to modify this Agreement at any time. Significant changes will be communicated with 30 days’ notice.

• Continued use of Zutopia following any updates constitutes your acceptance of the revised terms.

Registration and User Accounts

• Users must register for an account by providing accurate, current, and complete information to both Zutopia and Stripe where applicable.

• Zutopia may suspend or terminate accounts that violate these terms or are found to contain fraudulent or misleading information.

• Your Zucoins Wallet as Access: Your Zucoins wallet serves as your primary means of accessing Zutopia. It functions as both your identity and your password. Zutopia does not maintain custody or control over your wallet and cannot recover your wallet or its contents if lost or compromised.

• User Responsibility: You are solely responsible for ensuring the security of your Zucoins wallet and all backups related to it. This includes:

  • Safeguarding your wallet’s private keys and backups.

  • Ensuring backups are stored securely and not accessible by unauthorized parties.

  • Using robust and reliable storage methods to protect against theft, loss, or damage.

• Compromised Wallets: If your Zucoins wallet is compromised, your Zutopia account may also be at risk. Zutopia is not liable for any unauthorized access, transactions, or losses arising from a compromised wallet.

• Best Practices for Wallet Security:

  • Regularly update your wallet to the latest version.

  • Avoid sharing your wallet credentials with anyone, including third parties claiming to represent Zutopia.

  • Use hardware or other secure storage methods to enhance security.

• No Recovery Guarantee: As Zutopia does not store wallet details, we cannot assist in recovering lost wallets or funds. Users are encouraged to implement personal security measures to mitigate risks.

By using Zutopia, you acknowledge and accept full responsibility for the security of your Zucoins wallet and understand the risks associated with managing digital assets.

Identity Verification

• Stripe may require users to verify their identity to ensure a safe trading environment.

• Verification may involve providing valid identification, proof of payment, and other necessary documentation.

• Stripe reserves the right to suspend accounts pending verification during disputes or suspected fraudulent activity.

Trading Zucoins

• Users can create offers to buy or sell Zucoins. Transactions are facilitated in real-time using SplitChain.

• Once initiated, transaction terms, including price, payment window, and method, cannot be altered.

• All trade-related communication must occur within Zutopia to ensure transparency and facilitate dispute resolution.

Dispute Resolution

• Disputes are reviewed and resolved by Zutopia support using SplitChain transaction records.

• Users found submitting fraudulent information or engaging in malicious activity will forfeit disputes and may face account termination.

Fees and Pricing

• Zutopia charges can be viewed on our website. Any associated card processing fees are displayed transparently during trades.

• Users agree to bear any applicable fees for card processing or currency exchange.

Account Suspension and Termination

• Zutopia may suspend or terminate accounts that violate these terms, engage in illegal activities, or compromise platform security.

• Zutopia reserves the right to limit access to services during investigations or technical maintenance.

Intellectual Property

• All content and materials on Zutopia, including the SplitChain framework, are proprietary to Zutopia and Zucoins L.P.

• Users are granted a non-exclusive, revocable license to use Zutopia’s Services for lawful purposes.

Limitation of Liability

• Zutopia provides services “as is” without warranties of any kind. Users assume all risks associated with trading and using the platform.

• Zutopia is not liable for any indirect, incidental, or consequential damages arising from the use of its services.

Governing Law

This Agreement is governed by the laws of New South Wales, Australia. Users agree to resolve disputes exclusively in the courts of New South Wales.
